Agreement<\/h2><div><strong>This is a legal agreement between:<\/strong><\/div><br \/><div>\u2013 Provider: Oleg Kolesnyk (NagataPress)<\/div><div>\u2013 Registered office: Kone\u010dn\u00e1 902\/19, 360 05 Karlovy Vary, Czech Republic<\/div><div>\u2013 Business ID (I\u010c): 26336481<\/div><div>\u2013 Commercial Register: File No. A 14779, maintained by the Regional Court in Plze\u0148<\/div><div>\u2013 Data Box ID: juwebax<\/div><br \/><div><strong>and you (individual or legal entity) purchasing or using NagataPress<\/strong>.<\/div><br \/><div>By purchasing, activating a license, or using NagataPress, you agree to these Terms.<\/div><br \/><div>Website: https:\/\/nagatapress.com<\/div><div>Contact: info@nagatapress.com<\/div><h2>2. Service Description and License Plans<\/h2><div>NagataPress is a premium WordPress performance plugin and related digital service.<\/div><br \/><div><strong>Available license tiers include:<\/strong><\/div><br \/><strong data-start=\"659\" data-end=\"670\">One Site<\/strong> \u2013 1 Website<br data-start=\"714\" data-end=\"717\" \/><strong data-start=\"717\" data-end=\"724\">Unlimited <\/strong>\u2013 Unlimited Websites &amp; Lifetime<\/div><div><br \/><div>License duration is typically 12 months unless a different duration is shown at checkout.<\/div><h3>License limits<\/h3><div>Activation limits and plan details are defined by the selected plan in checkout and reflected in order\/license metadata. If marketing text differs from checkout\/order data, checkout\/order\/license metadata prevails.<\/div><h2>3. Account and License Key<\/h2><div>To access premium features, updates, and support, you may need an account and a valid license key.<\/div><br \/><div><strong>You must:<\/strong><\/div><br \/><div>\u2013 keep login credentials and license key confidential,<\/div><div>\u2013 use the license only within purchased limits,<\/div><div>\u2013 notify us without undue delay if you suspect misuse.<\/div><br \/><div>License sharing, unauthorized redistribution, or circumvention of activation limits is prohibited.<\/div><h2>4. Subscriptions, Renewals, and Cancellation<\/h2><div>Some plans may be sold as subscriptions with automatic renewal.<\/div><br \/><div>\u2013 Renewal terms, billing frequency, and renewal amount are shown at checkout.<\/div><div>\u2013 You may cancel renewal before the next charge date in your customer portal.<\/div><div>\u2013 After cancellation, access remains active until the current paid period ends.<\/div><br \/><div>Trial availability (if any) and billing timing are governed by checkout details and our Refund Policy.<\/div><h2 data-start=\"119\" data-end=\"375\">5. Pricing, Merchant of Record, and Payment Processing<\/h2><p data-start=\"119\" data-end=\"375\">All prices are listed exclusive of VAT (value-added tax), unless explicitly stated otherwise. Applicable VAT will be calculated and added at checkout based on the customer\u2019s country of residence.<\/p><p data-start=\"377\" data-end=\"452\">Payments are processed by Creem.io, acting as:<\/p><ul data-start=\"454\" data-end=\"529\"><li data-section-id=\"gmh32o\" data-start=\"454\" data-end=\"487\">Merchant of Record (MoR), and<\/li><li data-section-id=\"ut5xgk\" data-start=\"488\" data-end=\"529\">payment processor for your transaction.<\/li><\/ul><p>\u00a0<\/p><p>This includes transaction processing, invoicing, and handling of applicable taxes and VAT in relevant jurisdictions.<\/p><p data-start=\"649\" data-end=\"756\">By completing the checkout process, you also agree to the applicable Creem.io buyer and payment terms.<\/p><br \/><h2>6. Delivery of Digital Content<\/h2><div>After successful payment (or valid trial activation), digital access is provided without undue delay, typically via:<\/div><br \/><div>\u2013 account\/license activation,<\/div><div>\u2013 download access,<\/div><div>\u2013 transactional email confirmation.<\/div><\/div><div>\u00a0<\/div><div>Plugin download will be available via the customer dashboard. All download links will be sent to your registration email used during the purchase. The email will also include your license key, which you can use to activate the plugin.<\/div><div><h2>7. Refunds and Consumer Withdrawal Rights (EU\/CZ)<\/h2><div>Our commercial refund windows and trial rules are set out in the current Refund Policy.<\/div><br \/><div>If you are a consumer under Section 419 of Czech Civil Code, you generally have a 14-day withdrawal right under Section 1829(1), unless an exception applies.<\/div><br \/><div>For digital content not supplied on a tangible medium, withdrawal right may be lost once performance begins, where legally required conditions are met (including explicit prior consent and acknowledgment under Section 1837 Czech Civil Code).<\/div><br \/><div>Nothing in these Terms limits mandatory consumer rights under applicable law.<\/div><h2>8. Support and Updates<\/h2><div><strong>During an active license period, we provide:<\/strong><\/div><br \/><div>\u2013 plugin updates,<\/div><div>\u2013 support communication (typically Mon\u2013Fri, 10:00\u201315:00 CET unless stated otherwise).<\/div><br \/><div><strong>Support may be limited or unavailable for:<\/strong><\/div><br \/><div>\u2013 modified\/obfuscated code,<\/div><div>\u2013 unsupported server configurations,<\/div><div>\u2013 third-party issues outside NagataPress scope.<\/div><h2>9. Intellectual Property and Trademarks<\/h2><div>NagataPress software, branding, source code, design assets, and related materials are protected by intellectual property laws.<\/div><br \/><div>You receive a limited, non-exclusive, non-transferable license to use the software according to your purchased plan and these Terms.<\/div><br \/><div>You may not claim ownership of NagataPress intellectual property.<\/div><h2>10. Prohibited Use<\/h2><div><strong>You may not, unless explicitly permitted in writing:<\/strong><\/div><br \/><div>\u2013 resell or sublicense license keys,<\/div><div>\u2013 bundle NagataPress as part of unauthorized mass hosting integration,<\/div><div>\u2013 reverse engineer or bypass licensing\/activation controls,<\/div><div>\u2013 use the service in a way that violates applicable law.<\/div><h2>11. Suspension and Termination<\/h2><div>We may suspend or terminate access for material breach of these Terms, including abuse, fraud, or unauthorized license resale.<\/div><br \/><div>Where reasonably possible, we may provide prior notice; however, immediate suspension may occur for security or legal reasons.<\/div><br \/><div>Termination does not affect accrued payment obligations.<\/div><h2>12. Third-Party Services and Links<\/h2><div>Our website or plugin may reference third-party services or links. We are not responsible for third-party content, availability, or policies.<\/div><br \/><div>Where optional integrations are used, additional third-party terms may apply.<\/div><h2>13. Warranty Disclaimer and Compatibility<\/h2><div>NagataPress is provided \u201eas is\u201c and \u201eas available\u201c to the extent permitted by law.<\/div><br \/><div>We aim for broad compatibility but do not guarantee flawless operation in all environments (all themes\/plugins\/hosting\/browser combinations). Compatibility issues may occur in complex or non-standard stacks.<\/div><h2>14. Limitation of Liability<\/h2><div>To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from use or inability to use the service.<\/div><br \/><div>These limitations do not exclude liability where exclusion is not allowed by law, including intent or gross negligence.<\/div><h2>15. Governing Law and Dispute Resolution<\/h2><div>These Terms are governed by the laws of the Czech Republic.<\/div><br \/><div>For B2B customers, local jurisdiction is the competent court at Provider\u2019s registered office, unless mandatory law states otherwise.<\/div><br \/><div>Consumers may use out-of-court dispute resolution, especially via:<\/div><br \/><div>\u2013 Czech Trade Inspection Authority (\u010cOI): https:\/\/coi.gov.cz\/<\/div><br \/><div>EU notice: the former ODR platform (`ec.europa.eu\/consumers\/odr`) was discontinued. Consumer redress information is available at: https:\/\/consumer-redress.ec.europa.eu\/<\/div><h2>16. Transactional Communications<\/h2><div>By purchasing or using licensed services, you agree to receive transactional communications related to:<\/div><br \/><div>\u2013 account and licensing,<\/div><div>\u2013 renewals and expiration notices,<\/div><div>\u2013 service\/security updates,<\/div><div>\u2013 legal policy updates.<\/div><h2>17. Changes to These Terms<\/h2><div>We may update these Terms from time to time.<\/div><br \/><div>The latest version is effective from the date shown above and applies prospectively. Changes do not retroactively alter rights and obligations under already concluded contracts unless required by law.<\/div><h2>18.
